Agreement to Terms

By accessing or using the Forged VMS platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including venue operators, managers, administrators, and any authorized users within your organization.

Service Description and License

Service Overview

Forged VMS provides a comprehensive venue management system platform that includes:

• •Player and customer relationship management
• •League and tournament organization tools
• •Waiver and document management
• •Integration with third-party services
• •Analytics and reporting features

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your venue management needs during your subscription period.

Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

Account Terms

Account Creation

To use our Service, you must:

• •Provide accurate, complete, and current registration information
• •Maintain the security of your password and account
• •Notify us immediately of any unauthorized use
• •Accept responsibility for all activities under your account

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We recommend enabling two-factor authentication when available.

Multiple Users

Your subscription may allow multiple users within your organization. You are responsible for ensuring all users comply with these Terms and for their actions within the Service.

Payment and Subscription Terms

Subscription Plans

Access to the Service may require an active subscription. We offer various plans with different features and limits. Details of available plans are provided during registration and in your account settings.

Billing

Acceptable Use and Restrictions

Prohibited Uses

You agree not to use the Service to:

API Usage

If we provide API access, you must comply with our API documentation and rate limits. Excessive API calls may result in temporary or permanent suspension of access.

Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including termination of access and legal action.

Content and Data Ownership

Your Content

You retain all rights to the data and content you upload to the Service ("Your Content"). By using the Service, you grant us a limited license to process and display Your Content solely for providing the Service to you.

Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Forged Sports, Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you. You grant us the right to use such feedback for any purpose without compensation or attribution.

Data Export

We provide tools for you to export Your Content from the Service. You are responsible for maintaining backups of Your Content outside of our Service.

Third-Party Services

Integrations

The Service may integrate with third-party services (such as Clover, SevenRooms, Toast, OpenTable). Your use of these integrations is subject to the terms and policies of those third parties. We are not responsible for the practices or content of third-party services.

Third-Party Links

The Service may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party sites.

Disclaimers and Limitation of Liability

Service "As Is"

No Guarantee

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service.

Limitation of Liability

Liability Cap

In no event shall our aggregate liability exceed the greater of one hundred dollars ($100) or the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Forged Sports, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• •Your Content or any content submitted through your account

Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting support. Termination does not entitle you to any refunds unless required by law.

Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

• •Non-payment of fees
• •Suspected fraudulent, abusive, or illegal activity
• •Extended period of inactivity

Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete Your Content after termination, though some information may be retained for legal or legitimate business purposes.

Governing Law and Disputes

Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles.

Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

Service Level Agreement

Uptime Commitment

We strive to maintain 99.9% uptime for the Service, excluding scheduled maintenance and circumstances beyond our control.

Scheduled Maintenance

We will provide at least 48 hours' notice for scheduled maintenance that may impact Service availability. Maintenance windows are typically scheduled during off-peak hours.

Support Response Times

• •Critical Issues: Within 4 business hours
• •Major Issues: Within 8 business hours
• •Minor Issues: Within 24 business hours
• •General Inquiries: Within 48 business hours

Data Processing Agreement

Data Processing

We process Your Content solely as a data processor on your behalf and in accordance with your instructions as outlined in these Terms and through your use of the Service.

Sub-processors

We may engage sub-processors to assist in providing the Service. All sub-processors are bound by data protection obligations at least as protective as those in these Terms.

Data Deletion

Upon termination of your account, we will delete or return all Your Content within 90 days, except where retention is required by law or for legitimate business purposes such as billing records.

Data Location

Your data is stored in secure cloud infrastructure. Data location may vary based on our infrastructure providers. By using the Service, you consent to the transfer and processing of your data in accordance with this policy.

Warranty and Support

Limited Warranty

We warrant that the Service will perform substantially in accordance with the documentation under normal use. This warranty does not apply to issues caused by factors outside our reasonable control.

Support Services

Support is provided via email and in-app messaging during business hours (9 AM - 6 PM EST, Monday through Friday). Premium support plans with extended hours and phone support may be available for additional fees.

Bug Fixes and Updates

We regularly release updates to improve functionality and fix bugs. You agree to install updates promptly to ensure optimal performance and security.

General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Forged Sports, Inc. regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, or acts of civil or military authorities.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• •Sending email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
